Opportunities for Foreign Companies
The United Arab Emirates offers major business opportunities for foreign companies considering the new growth markets in the Middle East. The country is a federation of seven separate Emirates each with their own ruler and government. As with any country in the world, a foreign party must firstly comply with the relevant laws of the country to establish a legal entity to be able to invest in or trade in that country. There exists requirements for both federal legislation and local regulation for each Emirate. Dependent on the intended activity, the options available to a foreign party generally fall into one of six categories:
  1. Participation in a pre-existing local company
  2. Establish a representative office of the parent company
  3. Establish a branch of the parent company
  4. Establish a Limited Liability Company with a local partner
  5. Establish a Fee Zone company with the Free Zone Authority
  6. Participation in a joint venture with a local sponsor
There will always be the opportunity for an existing company with a licence in a similar field to cooperate with a foreign party for the trading of new products in this market. New business ventures would do well to seek advice from competent local legal advisors in setting up such arrangements to provide the maximum protection possible under UAE Law. Possible arrangements could include appointing a commercial agent to an equity stake in shareholding of the existing company.

Overseas companies considering the establishment of a representative office or branch of the parent company should seek independent advice from their taxation accountants in their country of origin regarding possible taxation of profits earned in the UAE. It is generally understood that most countries’ tax authorities would expect an overseas office or branch to report their finances situation. For those who are satisfied that this is the best course of action, the legislation provides for the representative office or branch to have 100% foreign ownership, consequent to the appointment of a Local Service Agent (LSA) or National Agent (NA). The agent must be a UAE National, or a company wholly owned by a UAE National. A representative office can only market the services of the parent company, and a branch is restricted to conduct only the activities that the parent company is licenced to undertake in the country of origin. Links Group acts as the LSA and NA for many large multi-national overseas offices.
